Welcome to TAP IN. These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and services (collectively, the "Platform"). By creating an account or using our Platform, you agree to be bound by these Terms. Please read them carefully.
1. Account Registration
1.1 Eligibility
You must be at least 18 years old to create an account and use TAP IN. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
1.2 Account Information
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
1.3 Account Security
You must immediately notify TAP IN of any unauthorized use of your account or any other security breach. We strongly recommend enabling multi-factor authentication (MFA) for enhanced security. TAP IN will not be liable for any loss arising from unauthorized access to your account.
2. User Responsibilities
2.1 Acceptable Use
You agree to use TAP IN only for lawful purposes and in accordance with these Terms. You are responsible for:
- Maintaining accurate profile information that represents your true professional identity
- Protecting your account credentials and not sharing them with others
- Respecting the privacy and intellectual property rights of other users
- Communicating professionally and respectfully with other members
- Fulfilling commitments made to project collaborators
2.2 Professional Conduct
TAP IN is a music industry platform. You agree to conduct yourself professionally in all interactions, including marketplace transactions, messaging, and content sharing. Harassment, discrimination, or unprofessional behavior will not be tolerated.
3. Content Ownership and Licensing
3.1 Your Content
You retain ownership of all content you create and share on TAP IN ("User Content"). By posting User Content, you grant TAP IN a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating and improving the Platform.
3.2 Project Content
Content created through project collaborations is subject to the terms agreed upon by project participants. TAP IN recommends establishing clear ownership agreements before beginning collaborative work. TAP IN is not responsible for disputes over project ownership.
3.3 TAP IN Content
All content provided by TAP IN, including but not limited to text, graphics, logos, icons, images, software, and platform-generated insights, is owned by TAP IN or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without explicit permission.
4. Prohibited Activities
You agree NOT to:
- Create false or misleading profiles or impersonate any person or entity
- Harass, abuse, threaten, or intimidate other users
- Post content that is defamatory, obscene, or violates any law
- Engage in spamming, phishing, or any form of deceptive practices
- Attempt to access other users' accounts or private information
- Upload malicious code, viruses, or any software intended to damage the Platform
- Scrape, crawl, or use automated means to collect data from the Platform
- Circumvent security measures or attempt to probe system vulnerabilities
- Use the Platform for any illegal activities or to promote illegal services
- Sell, transfer, or share your account with third parties
- Use Marketplace listings or platform features for purposes that violate these Terms or applicable laws
5. Payment Terms and Refunds
5.1 Subscription Plans
TAP IN offers various subscription tiers (Free, Pro, and Elite). Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize TAP IN to charge your payment method on a recurring basis.
5.2 Pricing Changes
TAP IN reserves the right to modify pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle.
5.3 Refund Policy
Annual subscriptions are eligible for a full refund within 14 days of purchase if you are not satisfied with the service. Monthly subscriptions may be cancelled at any time but are not eligible for prorated refunds. Refund requests must be submitted to support@tapin.live.
5.4 Failed Payments
If a payment fails, we will attempt to process the charge again. After multiple failed attempts, your account may be downgraded to the Free tier until payment is successfully processed.
6. Marketplace
6.1 Marketplace Transactions
TAP IN provides a Marketplace where users may list, purchase, and license beats, songs, and professional services. All transactions conducted through the Marketplace are subject to these Terms. TAP IN acts as a platform facilitator and is not a party to any transaction between buyers and sellers.
6.2 Platform Fees
TAP IN may charge a platform service fee on Marketplace transactions. Applicable fees will be disclosed prior to purchase. Sellers are responsible for setting accurate pricing and delivering the goods or services as described in their listings.
6.3 Escrow and Payments
Payments for Marketplace transactions may be held in escrow until delivery is confirmed by the buyer or a predetermined delivery period has elapsed. TAP IN reserves the right to withhold or reverse payments in cases of fraud, disputes, or violations of these Terms.
7. Termination
7.1 Termination by You
You may delete your account at any time through your account settings. Upon deletion, your profile will be removed from public view, though certain information may be retained as required by law or for legitimate business purposes.
7.2 Termination by TAP IN
TAP IN reserves the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will provide notice when possible, but immediate termination may occur for serious violations.
7.3 Effect of Termination
Upon termination, your right to access the Platform ceases immediately. TAP IN is not obligated to retain or provide copies of your data, though you may request data export prior to account deletion.
8. Dispute Resolution
8.1 Informal Resolution
Before initiating formal dispute resolution, you agree to first contact TAP IN at legal@tapin.live to attempt to resolve any dispute informally. We will work with you in good faith to resolve concerns within 30 days.
8.2 Binding Arbitration
If informal resolution fails, you agree that any dispute arising from these Terms or your use of the Platform will be resolved through binding arbitration in accordance with the American Arbitration Association's rules. Arbitration will be conducted in [City, State], and the arbitrator's decision will be final.
8.3 Class Action Waiver
You agree to resolve disputes with TAP IN on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
8.4 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
9. Limitation of Liability
9.1 Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TAP IN DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAP IN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.
9.3 Cap on Liability
IN NO EVENT SHALL TAP IN'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TAP IN IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
10. Changes to Terms
TAP IN may modify these Terms at any time. We will notify you of material changes via email or prominent notice on the Platform at least 30 days before they take effect. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.
11. General Provisions
11.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and TAP IN regarding your use of the Platform.
11.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
11.3 Assignment
You may not assign your rights under these Terms without TAP IN's written consent. TAP IN may assign its rights and obligations at any time without notice.
11.4 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
